These Terms of Use ("Terms") govern your access to and use of the website located at firma.care (the "Site") and the services offered by Firma, a subsidiary of Beyond Locus LLC ("Firma," "we," "us," or "our"). These services include providing access to telehealth consultations, selling skincare and wellness products, and offering opportunities to participate in clinical research (collectively, the "Services").

By accessing or using our Site and Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference into these Terms. If you do not agree to these Terms, you may not access or use the Site or Services.

IMPORTANT: THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.

1. Description of Services

Firma provides a platform that connects individuals with licensed healthcare providers for telehealth consultations and offers skincare and wellness products for sale. Additionally, our platform may provide information and opportunities related to participation in clinical research studies.

All information and content provided on the Site or through the Services, including text, graphics, images, and other material, are for informational purposes only. The content is not intended to be a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read on this Site.

2. Eligibility and Service Area

To use our Site and Services, you must be at least 18 years of age and reside in the State of Florida. Our services are exclusively available to individuals and entities located within the State of Florida. We do not conduct business or provide services outside of the State of Florida.

By using the Site and Services, you represent and warrant that you meet these eligibility requirements and confirm that you are a resident of Florida.

3. Your Account

To access certain features of our Site and Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Telehealth Services Consent

Telehealth involves the use of electronic communications to enable healthcare providers at different locations to share individual patient medical information for the purpose of improving patient care. By using our telehealth Services, you consent to receiving care via telehealth.

You understand and agree that:

  • The telehealth consultation will be with a licensed healthcare provider.
  • The use of telehealth has potential risks, including but not limited to, interruptions in communication, information security breaches, and unforeseen technological failures.
  • You have the right to withhold or withdraw your consent to the use of telehealth at any time, without affecting your right to future care or treatment.
  • You will have access to the information from your telehealth consultation as provided by applicable law.

5. Electronic Communications Consent

Consent to Electronic Communications By using our platform, you consent to receive communications from us electronically, including:

  • Email communications to your registered email address
  • Text messages (SMS) to your provided mobile number
  • Voice calls to your registered phone number
  • In-app notifications through our platform

Automated Communications You specifically consent to receive automated communications, including:

  • Appointment reminders and confirmations
  • Prescription notifications
  • Health and wellness information
  • Marketing communications (which you may opt out of)
  • System notifications and updates

TCPA and CAN-SPAM Compliance Firma is committed to compliance with the Telephone Consumer Protection Act (TCPA) and the Controlling the Assault of Non-Solicited Pornography and Marketing Act (CAN-SPAM Act). By providing your contact information, you agree to receive communications as described above.

Opt-Out Procedures You may opt out of different types of communications:

  • Marketing Emails: Click the unsubscribe link in any marketing email
  • Phone Calls: Contact customer service to update your preferences

Communication Recording We may record audio and video interactions for quality assurance, training, and improvement purposes. By using our platform, you consent to such recording.

6. Clinical Research

Our Site may provide you with the opportunity to participate in clinical research studies. If you express interest in a study, you will be provided with detailed information about the study and an informed consent form. Participation in any clinical research is completely voluntary.

7. Payment and Billing

For any products or services you purchase on the Site, you agree to pay all applicable fees. You authorize us to charge your chosen payment method for these fees. All prices are in U.S. dollars, and all payments are non-refundable, except as required by law or as otherwise specified by us.

8. Intellectual Property

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Beyond Locus LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Site for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site.

9. User Conduct

You agree not to use the Site or Services in any way that:

  • Violates any applicable federal, state, local, or international law or regulation.
  • Is fraudulent, deceptive, or misleading.
  • Infringes on the rights of others, including intellectual property rights.
  • Is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
  • Involves the transmission of any advertising or promotional material without our prior written consent.
  • Could disable, overburden, damage, or impair the Site or interfere with any other party's use of the Site.

THE SITE AND THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, NEITHER FIRMA NOR BEYOND LOCUS LLC REPRESENTS OR WARRANTS THAT THE SITE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

11. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL FIRMA, BEYOND LOCUS LLC, THEIR AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE, OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Firma, Beyond Locus LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, any use of the Site's content, services, and products other than as expressly authorized in these Terms.

13. Governing Law and Dispute Resolution

All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of Florida without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Florida.

Mandatory Arbitration:

At Firma's sole discretion, it may require You to submit any disputes arising from these Terms or use of the Site, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Florida law.

14. Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Site following the posting of revised Terms of Use means that you accept and agree to the changes.
